Our privately held clients include corporations, general and limited partnerships, limited liability companies (LLCs) and sole proprietorships.
Emerging Growth Companies
Our lawyers work closely with innovative start-ups in a wide range of industries. We assist emerging companies with a range of their legal needs including:
- Corporate formation and initial capitalization
- Shareholder buy-sell agreements

As these companies mature, they often require capital to fuel and sustain their growth. Our lawyers can offer advice regarding corporate finance issues including venture capital, private placements and initial public offerings, corporate partnering and strategic alliances.
Public Companies
In today's post-Sarbanes-Oxley environment, the relationship between public companies and their outside counsel is critical. Our lawyers can serve as the principal outside counsel for public companies or for their board committees and members.
We provide counsel on a variety of matters including:
- Initial public offerings and subsequent registered offerings to corporate reorganizations
- Mergers and acquisitions
- Takeover and takeover-defense strategies
- Design and implementation of equity incentive plans

Series A Fixed-Fee Program
Entrepreneurs drive our country's economy forward with their exciting business ideas and inventions, and seemingly limitless energy and drive. Starting a new company can be extremely rewarding and profitable, but it is also risky. For start-up companies, every decision is critical, including the decision to hire a law firm at a time when money is a limited and precious resource.
Stanislaw Ashbaugh is an "Entrepreneur's Law Firm". Our Corporate/Securities Law Group includes lawyers who have successfully started their own companies and know first-hand the challenges and risks facing entrepreneurs. That is why Stanislaw Ashbaugh created the Series A Fixed-Fee Program, a collection of legal services and tools to help qualified early stage start-up companies with the structuring and closing of a Series A Preferred Stock financing with institutional investors, all for a fixed fee of $20,000 (not including filing fees and out of pocket expenses). Along the way, Stanislaw Ashbaugh's experienced lawyers will provide the guidance and advice needed to successfully close a Series A Preferred Stock financing.
The Series A Fixed Fee Program includes:
- "Corporate cleanup" documentation needed to facilitate investor due diligence
- Review of your Business Plan or Executive Summary
- Preparation of a Private Placement Memorandum or other offering documents necessary for a Series A Preferred Stock Financing
- Preparation or review and revision of customary Series A Preferred Stock Financing documents, including a legal opinion
- Issuances of securities to new Investors
- State and federal securities laws filings
In addition to the Series A Fixed-Fee Program, Stanislaw Ashbaugh also offers fixed-fee packaged services for Company Formation, Stock Option Plan Implementation, Executive Employment and Compensation Agreements, Shareholder Buy/Sell Agreements and "Angel" Financings.
Experienced, high-quality legal counsel at a predictable cost; that is our definition of Law as Results.
Stanislaw Ashbaugh is a proud sponsor of the Northwest Entrepreneur Network (www.nwen.com) and the University of Washington's Center for Innovation and Entrepreneurship (http://bschool.washington.edu/cie/)
